SOFTWARE-AS-A-SERVICE (“SaaS”) ADDENDUM 

This is an Addendum to the Master Services Agreement (“Agreement”) entered into by and between 3E and Client. This Addendum incorporates by reference and is governed by the terms and conditions of the Agreement set forth at 3enrollment.com/MSA, as may be amended from time to time by 3E. Any terms not defined in this Addendum shall have the meaning set forth in the main body of the Agreement. 

This Addendum is effective on the date that Client signs an Order Form (as defined below) for SaaS Services which incorporates by reference the Agreement (“Effective Date”) and governs the SaaS Services (as listed in the Order Form) to be provided by 3E. By executing an Order Form, Client is accepting and agreeing to the Agreement including this Addendum and the terms of such Order Form which, upon execution by Client, is incorporated into and subject to the Agreement. Each Order Form executed by Client shall be effective as of the effective date specified therein or, if no effective date is specified, the date Client executes the Order Form. The Subscription Term (as defined below) for the Services commences on the date specified in the Order Form or, if no Subscription Term effective date is specified, the date Client executes the Order Form.  

  1. Definitions. 

“Client Data” means all information processed or stored through 3E’s SaaS software platform by Client or on Client’s behalf. Client Data does not include payment records, credit cards, or other information Client uses to pay 3E, or other information and records related to Client’s account including, without limitation, identifying information related to Client personnel involved in payment or other management of such account. 

“Documentation” means any user guide and other end user documentation for the applicable SaaS Services made available by 3E, and which may be updated, amended, or replaced by 3E from time to time. 

“Order Form” means an ordering document provided to Client that specifies the products and/or services purchased by Client or under the Agreement, including any supplements or addenda thereto, and signed by Client and 3E. Order Forms do not include the terms of any preprinted terms on a Client purchase order or other terms on a purchase order that are additional to or inconsistent with the terms of the Agreement. 

“SaaS Services” means 3E’s software modules ordered by Client and listed in the applicable Order Form executed by both parties. 

“User” means any individual authorized by Client to use the SaaS Services, for whom a subscription to the SaaS Services has been procured and who uses the SaaS Services on Client’s behalf or through Client’s account or passwords, whether authorized or not. 

3E Obligations. 

2.1 Provision of SaaS Services. 3E will make the SaaS Services available to Client subject to the terms and conditions of the Agreement including this Addendum and the applicable Order Form during the subscription term set forth in the Order Form (“Subscription Term”). 3E grants to Client a limited, non-sublicensable, non-exclusive, non-transferable right during the applicable Subscription Term to allow its Users to access and use the SaaS Services in accordance with the applicable documentation, solely for Client’s internal business purposes. The SaaS Services are provided on a subscription basis neither this Addendum nor any Order Form is for the sale or license of any software. No rights or licenses are granted except as expressly set forth in this Addendum. Client agrees that its purchase of the SaaS Services is neither contingent upon the delivery of any future functionality or features nor dependent upon any oral or written public comments made by 3E with respect to future functionality or features. 

  1. Free Trials. Upon agreement between the parties, 3E will make the SaaS Services available to Client on a trial basis (“Free Trial Service”), free of charge, until the earlier of (a) the end of the free trial period for which Client agreed to use such Free Trial Service, (b) the start date of any SaaS Services subscription purchased by Client, or (c) termination of the Free Trial Service by 3E in its sole discretion. A free trial period may be extended upon mutual written agreement by 3E and Client. Notwithstanding anything to the contrary in this Addendum, a Free Trial Service is provided “AS IS”. 3E MAKES NO REPRESENTATION OR WARRANTY AND SHALL HAVE NO INDEMNIFICATION OBLIGATIONS WITH RESPECT TO A FREE TRIAL SERVICE. 3E SHALL HAVE NO LIABILITY OF ANY TYPE WITH RESPECT TO A FREE TRIAL SERVICE, UNLESS SUCH EXCLUSION OF LIABILITY IS NOT ENFORCEABLE UNDER APPLICABLE LAW IN WHICH CASE 3E’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO ANY FREE TRIAL SERVICE IS US$1,000. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN SECTION 8 (“LIMITATION OF LIABILITY”), CLIENT SHALL NOT USE THE FREE TRIAL SERVICE IN A MANNER THAT VIOLATES ANY APPLICABLE LAW OR REGULATION AND WILL BE FULLY LIABLE FOR ANY DAMAGES CAUSED BY ITS OR ANY USER’S USE OF A FREE TRIAL SERVICE. ANY DATA AND CONFIGURATIONS ENTERED INTO CLIENT’S FREE TRIAL SERVICE ACCOUNT MAY BE PERMANENTLY DELETED UPON TERMINATION OF THE FREE TRIAL SERVICE. 
  2. Customer Support and Service Level Agreement. If there is a problem with the operation of the SaaS Services, Client can contact 3E by sending an email message to 3EIQPlatform@3enrollment.com. Subject to the terms of the Agreement, 3E will use commercially reasonable efforts to provide Client the SaaS Services in accordance with the Service Level Agreement (“SLA”) set forth in Exhibit A. For any failure of the SaaS Services to operate in accordance with the applicable documentation, 3E shall provide the remedy described in the SLA. Such remedy is Client’s sole remedy for any failure of the SaaS Services, and Client recognizes and agrees that if the SLA does not list a remedy for a given failure, it has no remedy. Credits issued pursuant to the SLA apply to outstanding or future invoices only and are forfeited upon expiration or termination of the Agreement or the applicable Order Form. 3E is not required to issue refunds or  make payments against any SLA credits under any circumstances, including without limitation after termination of the Agreement.
  3. Documentation. Client may reproduce and use the Documentation solely as necessary to support any User’s use of the SaaS Services and for no other reason. 

 

Client’s Responsibilities and Restrictions. 

  1. Limitations on Use of the SaaS Services. Client shall not, directly or indirectly: (i) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the SaaS Services; (ii) modify, copy, translate, or create any derivative works based on the SaaS Services; (iii) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share, offer in a service bureau or otherwise make the SaaS Services available to any third party, other than to Users as permitted herein or use the SaaS Services for any service bureau or time-sharing purposes or otherwise make the SaaS Services available to any third party other than to Users; (iv) provide any SaaS Services password or other log-in information to any third party; (v) share any non-public SaaS Services features or content with any third party; (vi) access the SaaS Services in order to build a competitive product or service, to build a product using similar ideas, features, functions or graphics of the SaaS Services, or to copy any ideas, features, functions or graphics of the SaaS Services; (vii) remove any proprietary notices or labels; (viii) modify, copy or create any derivative works based on the SaaS Services; (ix) engage in web scraping or data scraping on or related to the SaaS Services including, without limitation, collection of information through any software that simulates human activity or any bot or web crawler; or (x) send or store any viruses, worms, time bombs, Trojan horses and other harmful or malicious code, files, scripts, agents, or programs. In the event that it suspects any breach of the requirements of this Section including, without limitation, by any User, 3E may suspend Client’s access to the SaaS Services without advanced notice, in addition to such other remedies as 3E may have.
  2. Unauthorized Access. Client shall take reasonable steps to prevent unauthorized access to the SaaS Services including, without limitation, protecting its passwords and other log-in information. Client shall notify 3E in writing immediately of any known or suspected unauthorized access to or use of the SaaS Services.
  3. Compliance with Laws. In its use of the SaaS Services, Client shall comply with all applicable laws including, without limitation data security and privacy.
  4. Users and SaaS Services Access. Client is responsible and liable for: (a) its Users’ use of the SaaS Services including, without limitation, any unauthorized User conduct and any User conduct that would violate the requirements of the Agreement; and (b) any use of the SaaS Services through Client’s account, whether authorized or unauthorized.
  5. Client Equipment. Client shall be responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access, or otherwise use the SaaS Services including, without limitation, modems, hardware, servers, software, operating systems, networking, web servers and the like (collectively, “Equipment”). Client shall also be responsible for maintaining the security of the Equipment, Client account, passwords (including but not limited to administrative and user passwords) and files, and for all uses of Client’s account and/or the Equipment with or without Client’s knowledge or consent.
  6. Export Controls. Client may not remove or export from the United States or allow the export or re-export of the Saa S Services in violation of any restrictions, laws, or regulations of the United States Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, or any other United States or foreign agency or authority.    
  7. Intellectual Property (“IP”) Rights and Feedback
  8. IP Rights to SaaS Services. 3E retains all rights, title, and interest in and to (i) the SaaS Services and Documentation including, without limitation, all software used to provide the SaaS Services and all graphics, user interfaces, logos, and trademarks reproduced through the SaaS Services as well as all improvements, enhancements, and/or modifications thereto; and (ii) any software, applications, inventions, and/or other technology developed in connection with the SaaS Services or support; and (iii) all intellectual property rights related to any of the foregoing. The Agreement does not grant Client any intellectual property license or rights in or to the SaaS Services or Documentation or any of its or their components, except to the limited extent that such rights are necessary for Client’s use of the SaaS Services as specifically authorized in the Agreement. Client recognizes that the SaaS Services and Documentation and their components are protected by copyright and other laws. No rights or licenses are granted except as expressly set forth herein.
  9. Client Data. (a) Client shall own all rights, title and interest in and to the Client Data. 3E shall own and retain all rights, title and interest in and to (i) the Services and Software, all improvements, enhancements or modifications thereto, (ii) any software, applications, inventions or other technology developed in connection with the Services or support, and (iii) all intellectual property rights related to any of the foregoing.  

 

(b) Notwithstanding anything to the contrary, 3E shall have the right collect and analyze data and other information relating to the provision, use, and/or performance of various aspects of the SaaS Services and related systems and technologies (including, without limitation, information concerning Client Data and data derived therefrom), and 3E will be free (during and after the term of the Agreement and/or any Order Form) to (i) use such information and data to improve and enhance the Services and for other development, diagnostic and corrective purposes in connection with the SaaS Services and other 3E offerings, and (ii) disclose such data solely in aggregate or other de-identified form in connection with its business. No rights or licenses are granted except as expressly set forth herein. 

  1. Client Data and Privacy
  2. Use of Client Data. 3E will not give Client Data access to any third party, except 3E’s subcontractors that have a need for such access to facilitate provision of the SaaS Services and are subject to a reasonable written agreement governing the use and security of Client Data. 3E will also: (i) exercise reasonable efforts to prevent unauthorized disclosure of or access to Client Data; and (ii) comply with all applicable data privacy laws.
  3. De-Identified Data and Statistical Usage Data. (a) Notwithstanding any other provision of the Agreement including this Addendum,  3E may use, reproduce, sell, publicize, or otherwise exploit any De-Identified Data in any way, in its sole discretion, including, without limitation, aggregated with data from other clients. “De-Identified Data” means any Client Data that has removed information that identifies or could reasonably be used to identify an individual person. 

(b) 3E owns the statistical usage data derived from the operation of the SaaS Services including data regarding web applications utilized in connection with the SaaS Service, configurations, log data, and the performance results for the SaaS Services (“Usage Data”). Nothing herein shall be construed as prohibiting 3E from utilizing any Usage Data for purposes of operating 3E’s business; provided that the Usage Data shall be de-identified and presented in the aggregate so that it will not disclose the identity of Client or any User(s) to any third party. 

  1. Erasure. 3E may permanently erase Client Data if Client’s account is delinquent, suspended, or terminated for thirty (30) days or more, without limiting 3E’s other rights or remedies.
  2. Required Disclosure. Notwithstanding any other provision of the Agreement including this Addendum, 3E may disclose Client Data as required by applicable law or by proper legal or governmental authority. To the extent legally permissible and at Client’s expense, 3E will give Client prompt notice of any such legal or governmental demand and reasonably cooperate with Client in any effort to seek a protective order or otherwise to contest such required disclosure. 
  3. Risk of Exposure. Client recognizes and agrees that hosting data online involves risks of unauthorized disclosure, access, and/or exposure and that, in accessing and using the SaaS Services, Client assumes such risks. 3E offers no representation, warranty, or guarantee that Client Data will not be exposed or disclosed through acts, errors, omissions, or actions of third parties. 
  4. Data Accuracy. 3E shall have no responsibility or liability for the accuracy of data uploaded to the SaaS Services by Client including, without limitation, any Client Data and any other data uploaded by any Users. 
  5. Excluded Data. Client warrants that (a) it has not and will not store or transmit any Excluded Data (as defined below), or permit transmission of Excluded Data, to 3E or its computers or other media and, (b) to the best of its knowledge, Client Data does not and will not include any Excluded Data. Client shall inform 3E of any Excluded Data within Client Data promptly after discovery (without limiting 3E’s rights or remedies). Client recognizes and agrees that: (i) the provisions of this Addendum related to Client Data do not apply to Excluded Data; (ii) 3E has no liability for any failure to protect any Excluded Data; and (iii) 3E’s systems are not intended for management or protection of any Excluded Data and may not provide adequate or legally required security for any Excluded Data. 3E is not responsible or liable for any data exposure or disclosure or related loss to the extent that it involves any Excluded Data. (“Excluded Data” means any information and/or data including, without limitation, any personally identifiable information other than the following student information and/or data: name, telephone number, mailing address, and email address; name of a student’s parent or guardian; date of birth; citizenship; ethnicity; and high school. For avoidance of doubt, Client shall not process or store any other personally identifiable information including, without limitation, any social security number, protected health information, bank account or other financial information using the SaaS Services. 
  1. Warranty And Disclaimer.3E will use reasonable efforts consistent with prevailing industry standards to maintain the SaaS Services in a manner which minimizes errors and interruptions in the SaaS Services and will provide the SaaS Services in a professional and workmanlike manner. The SaaS Services may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance, either by 3E or by third party 3Es, or because of other causes beyond 3E’s reasonable control, but 3E shall use reasonable efforts to provide advance written by e-mail of any scheduled service disruption. 3E DOES NOT WARRANT THAT THE SAAS SERVICES WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES 3E MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SAAS SERVICES.  EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, THE SAAS SERVICES AS WELL AS ANY RELATED IMPLEMENTATION SERVICES ARE PROVIDED “AS IS” AND 3E DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 
  2. Indemnification.3E will defend Client from any third party claim resulting from the SaaS Services infringing any United States patent or any copyright or misappropriation of any trade secret and indemnify Client for any damages finally awarded by a court of competent jurisdiction, or paid to a third party in accordance with a settlement agreement signed by 3E, in connection with  such infringement claim, provided 3E is promptly notified in writing of any and all threats, claims, and proceedings related thereto and given reasonable assistance and the right to have exclusive control over defense and settlement of any such claim. 3E will not be responsible for any settlement it does not approve in writing. The foregoing obligations do not apply with respect to any portion or component of the SaaS Services (i) not supplied by 3E; (ii) made in whole or in part in accordance with any Client specifications; (iii) that are modified after delivery by 3E; (iv) combined with any other product, process, service, or material where the alleged infringement relates to or arises from such combination; (v) where Client continues any allegedly infringing activity after being notified by 3E of or after being informed of modifications that would have avoided the alleged infringement; or (vi) where Client’s use of the SaaS Services is not strictly in accordance with the Agreement and applicable Order Form, in an unauthorized manner, or any manner inconsistent with the Documentation. If, due to a claim of infringement, the SaaS Services are held by a court of competent jurisdiction to be or are believed by 3E to be infringing, 3E may, at its option and expense (a) replace or modify the SaaS Services to be non-infringing provided that such modification or replacement contains substantially similar features and functionality; (b) obtain for Client a right to continue using the SaaS Services in accordance with the Agreement; or (c) if neither of the foregoing is commercially practicable or feasible in 3E’s discretion, terminate the Agreement and applicable Order Form and Client’s rights hereunder and provide Client a pro-rated refund of any prepaid, unused fees for the affected SaaS Services. 
  3. Termination.Upon any expiration or termination of the applicable Order Form, 3E will make all Client Data available to Client for electronic retrieval for a period of up to thirty (30) days and thereafter 3E may, but is not obligated to, delete all Client Data.  
  4. Publicity.3E may use Client’s name and logo and identify Client as a 3E customer of the SaaS Services, including on 3E’s s public website. The parties shall also work together in good faith to issue at least one mutually agreed upon press release within thirty (30) days of the parties’ execution of an Order Form, and Client otherwise agrees to reasonably cooperate with 3E to serve as a reference account upon request.   

 

 

EXHIBIT A 

SaaS SERVICES SERVICE LEVEL AGREEMENT 

The SaaS Services shall be available 99%, measured monthly, excluding holidays observed by 3E and weekends and scheduled maintenance.  If Client requests maintenance during these hours, any uptime or downtime calculation will exclude periods affected by such maintenance. Further, any downtime resulting from outages caused by any force majeure event or any third party connections or utilities or other reasons beyond 3E’s control will also be excluded from any such calculation. Client’s sole and exclusive remedy, and 3E’s entire liability, in connection with SaaS Service availability shall be that for each period of downtime lasting longer than one (1) hour, 3E will credit Client three percent (3%) of the SaaS Service fees for each period of thirty (30) or more consecutive minutes of downtime; provided that no more than one such credit will accrue per day. Downtime shall begin to accrue as soon as Client (with notice to 3E) recognizes that downtime is taking place, and continues until the availability of the SaaS Services is restored.  In order to receive downtime credit, Client must notify 3E in writing within 10 business days from the time of downtime, and failure to provide such notice will forfeit the right to receive downtime credit. Such credits may not be redeemed for cash and shall not be cumulative beyond a total of credits for one (1) week of service fees for the SaaS Services in any one (1) calendar month in any event. 3E will only apply one (1) credit to the month in which the incident occurred. Client will not be eligible to receive any SLA credit if Client’s account is delinquent. 3E’s suspension of any service in accordance with the Agreement or 3E’s policies shall not be deemed to be a failure of 3E to provide adequate service levels under this SLA or the Agreement.
