THIS MASTER SSERVICES AGREEMENT (“AGREEMENT”), AS MAY BE UPDATED FROM TIME TO TIME, GOVERNS THE PROVISION OF SERVICES AND SAAS SERVICES (AS DEFINED BELOW) TO BE PROVIDED BY 3 ENROLLMENT MARKETING, INC. (“3E”) TO THE COMPANY OR ENTITY (“REFERRED TO AS “CLIENT”, “YOU”, OR “YOUR”) THAT EXECUTES A STATEMENT OF WORK AND/OR ORDER FORM (AS DESCRIBED BELOW). BY EXECUTING A STATEMENT OF WORK AND/OR ORDER FORM, CLIENT IS ACCEPTING AND AGREEING TO THE TERMS AND CONDITIONS OF THIS AGREEMENT AS WELL AS THE TERMS OF SUCH STATEMENT OF WORK AND/OR ORDER FORM WHICH, UPON EXECUTION BY CLIENT, BECOMES PART OF AND SUBJECT TO THIS AGREEMENT. THE EFFECTIVE DATE OF EACH STATEMENT OF WORK AND/OR ORDER FORM AS WELL AS THIS AGREEMENT SHALL BE THE DATE SPECIFIED IN THE STATEMENT OF WORK AND/OR ORDER FORM OR, IF NO EFFECTIVE DATE IS SPECIFIED, THE DATE CLIENT EXECUTES THE STATEMENT OF WORK AND/OR ORDER FORM. 

SERVICES 

  1. Services. (a) 3E will provide to Client various marketing services including, without limitation, enrollment marketing and marketing campaign services as well as  student engagement services, advisory services, and/or other services (collectively referred to as the “Services”) if and as specified in a Statement of Work signed by the duly authorized representatives of both parties that sets forth and describes Services to be provided hereunder, the fees to be paid, delivery schedules, timelines, specifications and any other terms agreed upon by the parties (the “SOW”).   

(b) If Client orders any of 3E’s Software-as-a-Service services (“SaaS Services”) by executing an Order Form for such services, 3E’s provision of any SaaS Services will also be subject to and governed by the terms and conditions of the SaaS Services Addendum set forth at 3enrollment.com/SaaSaddendum.  

  1. Staffing, Designated Contact and Cooperation. 3E shall have sole discretion in staffing the Services. 3E reserves the right to perform its obligations under this Agreement and any SOW through use of subcontractors; provided that 3E shall be responsible for the performance of any such subcontractor. Client shall designate at least one employee with knowledge of Client’s business and 3E’s technology and services as its primary point of contact to be promptly available for communications with 3E in providing the Services. Client will cooperate with 3E to provide 3E with accurate and complete information, provide 3E with such assistance and access as 3E may reasonably request, and  fulfill Client’s responsibilities as set forth in this Agreement and the SOW.  If 3E personnel are required to be present on a Client site, Client will provide adequate workspace and may provide reasonable worksite safety and security rules to which such personnel are to conform.  All resources and information that are required for 3E to perform the Services shall be provided at Client’s expense. PAYMENTS; TAXES 

2.1 Fees.  Unless a different payment schedule is set forth in the SOW or, if applicable, an Order Form for the SaaS Services, Client shall pay 3E the fees, charges and other amounts specified in a SOW (and SaaS Services Order Form if applicable) within thirty (30) days of the invoice date,. All fees shall be paid in U.S. dollars and Client shall provide accurate, current, and complete billing information. 3E is expressly authorized by Client to invoice in advance for the provision of Services and SaaS Services unless otherwise set forth in the applicable SOW or Orde Form. In addition to paying the applicable fees, Client shall also pay all reasonable travel and out-of-pocket expenses incurred by 3E in connection with any Services and/or SaaS Services rendered.  All past due invoices are subject to a late payment fee on any outstanding balance of the lesser of 1.5% per month or the maximum amount permitted by law and 3E shall be reimbursed for all costs and expenses, including legal fees, incurred in collecting any unpaid invoice. All fees are based on the Services and/or SaaS Services ordered by Client in any SOW and/or Order Form and not actual usage of the Services or SaaS Services. All payment obligations are non-cancelable, fees paid are non-refundable nor subject to set-off, and services and quantities ordered cannot be decreased during the applicable term of the SOW and/or Order Form then in effect. Upon written notice to Client (which can be sent by email) and unless otherwise agreed to between the parties, 3E, in its discretion, has the right to raise all or any portion of any fees on an annual basis for any Services and/or SaaS Services. 

2.2 Taxes.  Charges for Services and/or SaaS Services do not include any federal, state, local or foreign taxes, duties or levies of any nature (“Taxes”).  Client shall be responsible for all taxes associated with the Services and SaaS Services ordered by Client  other than taxes based on 3E’s net income. 

2.3 Suspension of Services. In addition to any other rights or remedies 3E may have under this Agreement or by law, 3E reserves the right to suspend the provision of and Client’s access to any Services (and SaaS Services as and if applicable), without any liability to 3E for such suspension, for any uncured breach of this Agreement or upon written notice of non-payment to Client sent by 3E (notice by email is acceptable) and such services shall only be resumed if Client cures such breach within five (5) business days of receipt of such written notice or, if pursuant to non-payment, pays the full amount of such invoiced fees (except for any disputed fees then subject to a Billing Dispute under Section 2.4 below) to 3E. 

2.4  Billing Disputes. Any dispute involving any invoiced fees (“Billing Dispute”) must be in writing and submitted in good faith to 3E within thirty (30) days of the invoice date and include a reasonably detailed statement describing the nature and amount of the disputed fees as well as the reasonable and good faith basis for why a credit is being requested (“Billing Dispute Notice”). Client shall cooperate in good faith with 3E to promptly address and attempt to resolve any Billing Dispute submitted by Client. Client acknowledges and agrees that, if Client does not submit a timely Billing Dispute Notice in compliance with this Section, Client waives all rights to dispute such invoice and all fees set forth in such invoice will be deemed to be correct and binding on Client. Notwithstanding any dispute of invoiced fees submitted by Client in good faith in accordance with this Section, Client shall remain obligated to pay in a timely manner all undisputed fees within thirty (30) days of the invoice date or as otherwise applicable. 

PROPRIETARY RIGHTS 

  1. Work Product.  (a) Except for Pre-Existing IP (as defined below) which shall continue to be owned by 3E, any work product, deliverables, programs, interfaces, modifications, configurations, reports, analyses or documentation developed or delivered specifically for Client in the performance of Services under a SOW (“Work Product”) shall be the sole property of Client upon Client’s payment in full of all fees due under the applicable SOW.  3E shall and at Client’s request require its personnel to execute any document that may be necessary or desirable to establish or perfect Client’s rights to the exclusive ownership of such Work Product. 
  2. Pre-Existing IP.  3E may use Pre-Existing IP to provide and/or perform any of the Services. “Pre-Existing IP” shall mean and include any and all software, documentation, information, templates, technology, tools, models,  methodologies, data, designs, ideas, concepts, products, materials, ideas, concepts, procedures, interfaces, databases, reports, processes, best practices, know-how and techniques owned and/or licensed by or developed on behalf of 3E or any of its subcontractors prior to the commencement or independent of provision of the Services and all intellectual property rights therein, some of which may be used by 3E in performance of the Services or the development of any Work Product hereunder, and shall also include any and all enhancements, modifications, adaptations, and/or derivative works related to any Pre-Existing IP. Client acknowledges and agrees that: (i) 3E  or its suppliers or licensors shall retain all right, title and interest (including all patent, copyright, trade secret, and all other intellectual property rights) in and to all Pre-Existing IP; (ii) 3E may modify or improve any Pre-Existing IP during the course of this Agreement and any SOW and all such modifications and/or improvements shall be included within the meaning of “Pre-Existing IP”; and (iii)  all Pre-Existing IP shall be treated as 3E Confidential Information. Client  further acknowledges and agrees that 3E is in the business of providing the Services, and as such will retain the unlimited right to use and to sublicense to others the ideas, designs, concepts, techniques, and/or other expertise which 3E may develop or employ in providing the Services, including those ideas, concepts, techniques acquired in developing any Work Product and/or any deliverables, in any products and for any purposes (including providing services and developing deliverables for other clients), provided that the same are (a) of general application and (b) not based on and do not contain Client Confidential Information. To the extent that 3E incorporates any Pre-Existing IP into any Work Product, 3E hereby grants Client a limited, royalty-free, non-exclusive, non-assignable, non-transferable license to use such Pre-Existing IP delivered to Client solely as necessary for and in conjunction with and not separate from Client’s use of the Work Product in accordance with the terms of this Agreement and any SOW. For the avoidance of doubt, except as stated in this Section, Client is not granted any rights, title or interest in or to any Pre-Existing IP. 
  3. Anonymous Data.  Notwithstanding the foregoing, 3E shall have the right to compile, use, distribute, copy, incorporate, report on, create derivatives of, and otherwise benefit from Anonymous Data for its business purposes, including but not limited to assessing the operation and organizational effectiveness of the 3E’s service and product offerings (including benchmarking, performance and usage), for use in 3E’s existing or future products and/or services and marketing, internal or external reporting, performing analytics and reporting for system metrics, benchmarking, product improvement, quality control,  product development, and any other business and/or management purposes.  “Anonymous Data” means data submitted to or collected or generated by 3E or any results or analytics collected or generated by 3E in connection with 3E’s provision of and/or Client’s use of the Services, but only in anonymized form that is not linked specifically to Client. 
  4. Client Data.  All data provided by the Client to 3E hereunder (“Client Data”) will be used solely in support of the Services being provided shall be owned by the Client and will be not shared or provided by 3E to any organization other than 3E’s direct partners and/or subcontractors who may assist with providing the Services. Upon expiration or termination of the Agreement, all the Client Data shall be promptly returned and/or deleted from 3E’s systems. 
  5. Feedback. Client has no obligation to provide 3E with any ideas, comments, suggestions, enhancement requests, feedback, recommendations, and/or other information related to any of the Services and/or SaaS Services (collectively, “Feedback”). However, if Client and/or any of its employees or representatives submits any Feedback to 3E, all such Feedback will become 3E’s sole and exclusive property. Client hereby irrevocably assigns and transfers to 3E, without charge, any and all of Client’s and its employees’ and representatives’ right, title, and interest in and to all Feedback including all intellectual property rights therein. Client agrees and acknowledges that it will not receive any fees, sums, consideration, or remuneration for any of Feedback or any of the rights granted in this Section. Nothing in this Agreement or in the parties’ dealings arising out of or related to the Agreement will restrict 3E’s right to use, profit from, disclose, keep secret, or otherwise exploit any Feedback, without compensating or crediting Client. Feedback will not be considered Client’s trade secret   

CONFIDENTIALITY

  1. Confidential Information.  During the term of this Agreement, each party will regard any information provided to it by the other party and designated in writing as proprietary or confidential to be confidential (“Confidential Information”). Confidential Information shall also include information which, to a reasonable person familiar with the disclosing party’s business and the industry in which it operates, is of a confidential or proprietary nature. The receiving party will not disclose the disclosing party’s Confidential Information to any third party without the prior written consent of the disclosing party, nor make use of any of the disclosing party’s Confidential Information except in its performance under this Agreement; provided, however, that the receiving party has a right to disclose or make accessible the disclosing party’s Confidential Information to its employees, officers, consultants, and contractors (collectively, “Representatives”) who need access for purposes of providing or using the Services and/or SaaS Services in accordance with this  Agreement and/or any SOW or Order Form, and who have signed confidentiality agreements with the receiving party containing protections, or have ethical duties to the receiving party, not materially less protective of the disclosing party’s Confidential Information than those set forth in this Agreement. The receiving party accepts responsibility for the actions of its Representatives and shall protect the disclosing party’s Confidential Information in the same manner as it protects its own confidential information, but in no event shall less than reasonable care be used. The parties expressly agree that the terms and pricing of this Agreement and any SOW are the Confidential Information of 3E. A receiving party shall promptly notify the disclosing party upon becoming aware of any breach or threatened breach hereunder, and shall cooperate with any reasonable request of the disclosing party in enforcing its rights.  
  2. Exclusions.  Information will not be deemed Confidential Information hereunder if such information: (i) is known by the receiving party prior to receipt from the disclosing party, without any obligation of confidentiality; (ii) becomes known to the receiving party directly or indirectly from a source other than one having an obligation of confidentiality to the disclosing party; (iii) is or becomes publicly known or otherwise publicly available, except through a breach of this Agreement by the receiving party; or (iv) is independently developed by the receiving party without use of the disclosing part’s Confidential Information. The receiving party may disclose Confidential Information pursuant to the requirements of applicable law, legal process, or government regulation, provided that, to the extent legally permissible, it gives the disclosing party prompt prior written notice to permit the disclosing party to contest such disclosure or seek a protective order, and such disclosure is otherwise limited to the required disclosure. 

LIMITED WARRANTY; INDEMNITY 

  1. Warranty and Remedy.  3E warrants that Services will be provided with reasonable skill and care conforming to generally accepted industry standards and any specifications specified in the applicable SOW. Client must report any deficiency in Services to 3E in writing within thirty (30) days of completion of such Services. For any breach of the above warranty, 3E will, at its option and at no cost to Client, provide Client with assessment of deficiency and a remediation plan.  Client will provide 3E with a reasonable opportunity to remedy any breach and reasonable assistance in remedying any defects. The remedies set out in this subsection are Client’s sole and exclusive remedies and 3E’s sole liability and responsibility for breach of the above warranty. 3E does not otherwise warrant, expressly or impliedly, the results, performance, or quality of the Services, any Work Product provided under this Agreement or any SOW, and/or any decision made by Client in reliance on any Services, deliverable, and/or Work Product provided by 3E under this Agreement or any SOW. 
  2. No Other Warranty. EXCEPT FOR WARRANTIES EXPRESSLY CONTAINED IN THIS SECTION 5, ALL SERVICES, DELIVERABLES, AND WORK PRODUCT PROVIDED BY 3E HEREUNDER ARE PROVIDED ON AN “AS IS” BASIS.  3E SPECIFICALLY DISCLAIMS ANY AND ALL OTHER WARRANTIES, WHETHER EXPRESSED, IMPLIED, STATUTORY OR OTHERWISE AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, THE CONDITIONS AND/OR WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, QUALITY, AND/OR FITNESS FOR ANY PARTICULAR PURPOSE TO THE MAXIMUM EXTENT PERMITTED BY LAW.   

Indemnity 

(A)  Each party (“Indemnifying  Party”) shall defend the other party (“Indemnified Party”) from and against any claim that any information (including, without limitation, list of students), design, specification, instruction, software, data or material furnished by the Indemnifying Party hereunder (“Material”) infringes a copyright or patent or misappropriates a trade secret of a third party, and will indemnify and hold harmless the Indemnified Party from and against any loss, damage, liability, or costs (including reasonable attorneys’ fees) incurred in connection with such a claim, provided that: (a) the Indemnified Party promptly notifies the Indemnifying  Party in writing of the claim; (b) the Indemnifying  Party has sole and exclusive control of the defense and all related settlement negotiations; and (c) the Indemnified Party provides the Indemnifying  Party with the assistance, information, and authority reasonably requested to defend and/or settle the claim.  The Indemnifying Party shall reimburse Indemnified Party for its reasonable out-of-pocket expenses incurred in providing such assistance. 

(B)   The Indemnifying  Party shall have no liability for any claim of infringement or misappropriation nor obligation duty to defend the Indemnified Party to the extent that such claim is based on: (a)  Material created or used based on specifications provided by Indemnified Party, (b) the combination, operation, or use of the Material with software or equipment which was not provided by the Indemnifying  Party, to the extent that Indemnifying  Party’s liability for such claim would have been avoided in the absence of such combination, operation, or use; or (c) the Indemnified Party’s use of a superseded or altered version of some or all of the Material if infringement or misappropriation would have been avoided by the use of a subsequent or unaltered release of the Material which was provided or made available to the Indemnified Party. 

(C)  In the event that some or all of the Material is held or is reasonably believed by the Indemnifying  Party to infringe or misappropriate the intellectual property rights of any third party, the Indemnifying  Party shall have the option, at its expense, to: (a) modify the Material so it no longer infringes or misappropriates; (b) obtain for the Indemnified Party a license or right to continue using the Material; or (c) require return of the affected Material and all rights thereto from the Indemnified Party.   

LIMITATION OF LIABILITY. 

  1. Indirect Damages Waiver. Except as may arise out of a party’s breach of Section 4 (Confidentiality), neither party will be liable to the other party or any third party for any  special, indirect, incidental, consequential, or exemplary damages, including costs, of any kind arising from, caused by, or related to this Agreement (including any Addendum). Additionally, 3E will not be liable for any costs of procurement of substitute and/or replacement services or products nor for any loss of business, loss of students or student enrollment, loss of any data or use of any data, interruption of business, and/or lost profit, revenue, savings, and/or goodwill. The limitations of liability set forth in this Section shall apply irrespective of whether a claim, loss, or damage is based on breach of contract, tort (including negligence), or otherwise and even if a party has been advised of the possibility of such claim, loss, and/or damages. 
  2. Limitation of Liability.  Except as may arise out of 3E’s breach of Section 4 (Confidentiality) or 3E’s indemnification obligations in Section 5.3, the total liability of 3E to Client for any and all claims, liabilities, and damages arising from, caused by, or related to this Agreement (including any Addendum) and any SOW and/or Order Form, whether arising by statute, contract, tort or otherwise, will not exceed the total amounts paid (and not otherwise refunded or discounted to) by Client to 3E under the applicable SOW or Order Form, as applicable, for the Services or SaaS Services during the twelve (12) months immediately prior to the event(s) or occurrence(s) giving rise to any claim for liability and/or damages. The provisions of this Agreement allocate risks between the parties. The pricing set forth in each SOW and Order Form reflects this allocation of risk and the limitation of liability specified herein. 

TERM

  1. Term. The term of this Agreement commences on the Effective Date and remains in effect until the earlier of: (i) the termination in accordance with the terms and conditions of this Agreement; or (ii) all SOWs and, to the extent applicable, Order Forms have expired or have been terminated.  
  2. Termination. A party may terminate this Agreement or any SOW and/or Order Form to the extent applicable (i) immediately in the event of a material breach of this Agreement or any such SOW or Order Form by the other party that is not cured within thirty (30) days of receipt of written notice from the non-breaching party, or (ii) immediately if the other party ceases doing business or becomes the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation,  assignment for the benefit of creditors or similar proceeding, that is not dismissed within sixty (60) days of filing.  
  3. Effect of Termination. Upon any termination or expiration of this Agreement or any SOW and/or Order Form for any reason, Client shall, as of the date of such termination or expiration, immediately cease accessing and using the Services and SaaS Services to the extent applicable and any 3E Confidential Information. If, prior to the expiration of any SOW and/or Order Form to the extent applicable then in effect, (i) Client terminates this Agreement or any SOW and/or Order Form to the extent applicable and/or and such termination is not due to 3E’s uncured material breach; or (ii) 3E terminates this Agreement or any SOW and/or Order Form to the extent applicable due to Client’s uncured material breach (collectively, an “Early Termination”) and Client has not already paid in advance the full amount of all fees due under the SOW(s) and/or Order Form being terminated, Client shall promptly pay to 3E an early termination charge equal to all fees to be paid by Client, including all applicable taxes, as set forth in each SOW and Order Form being terminated which would otherwise be due through the completion of the entire SOW(s) and/or SaaS Services subscription term (the “Early Termination Fee”). The parties agree that the precise damages resulting from Early Termination are difficult to ascertain and the Early Termination Fee is a reasonable estimate of anticipated actual direct damages and not a penalty. Client agrees and acknowledges that the Early Termination Fee shall apply even if Client terminates this Agreement and/or any SOW and/or Order Form prior to commencement of 3E’s provision of and/or Client’s access to or use of any Services and/or SaaS Services. The Early Termination Fee shall be due and payable to 3E within ten (10) business days of the effective date of termination.  
  4. Survival. The parties’ rights and obligations under Sections 1, 2, 3, 4, 5, 6, 7 and 8 and, if Client purchases any SaaS Services, the  applicable Sections of the SaaS Addendum will survive termination or expiration of this Agreement for any reason.  

GENERAL PROVISIONS

  1. Entire Agreement and Controlling Documents.  This Agreement, including any SOWs and Order Forms, contains the entire agreement between the parties with respect to the subject matter hereof, and supersedes all proposals, understandings, representations, warranties, covenants, and any other communications (whether written or oral) between the parties relating thereto and is binding upon the parties and their permitted successors and assigns.  Except as otherwise provided in this Agreement, a SOW, or an Order Form, no provision of this Agreement or any SOW or Order Form may be amended, modified, superseded, or terminated, or any term or condition waived, unless the parties agree in writing, signed by a duly authorized representative of each party. The parties agree that any term or condition stated in any Client purchase order or any other Client ordering document is inapplicable and void. This Agreement including each Statement of Work and Order Form will be construed and interpreted fairly, in accordance with the plain meaning of its terms, and there will be no presumption or inference against the Party drafting this Agreement or any Order Form in construing or interpreting any of the provisions. This Agreement shall apply to all Services and SaaS Services ordered by Client and/or provided to Client by 3E. If there is any conflict between the terms and conditions set forth in this Agreement and any SOW or Order Form, the terms and conditions of the Agreement  shall apply and prevail unless such SOW and/or Order Form expressly references the conflicting provision that it is intended to control and states that it is to control. 
  2. Assignment.  Either party may assign this Agreement and any SOW and/or Order Form to an affiliate or as part of a corporate reorganization, consolidation, merger, or sale of substantially all of its assets, provided that the assignee is not a competitor of the non-assigning party and agrees in writing to be bound by all the terms and conditions of this Agreement including all SOWs and, to the extent applicable, Order Forms and, in the case of an assignment by Client, all past due fees are paid in full. Except as expressly stated in this Agreement, neither party may otherwise assign its rights or delegate its duties under this Agreement either in whole or in part without the prior written consent of the other party, which consent shall not be unreasonably denied, delayed, or conditioned, and any attempted assignment or delegation without such consent will be void. This Agreement shall be binding upon and for the benefit of 3E, Client, and their permitted successors and assigns.    
  3. Governing Law.  This Agreement and any claim, controversy, right, obligation, or dispute arising under or related to this Agreement or any SOW shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. The Parties irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware. THE PARTIES HEREBY WAIVE ANY RIGHT TO TRIAL BY JURY IN CONNECTION WITH ANY ACTION, PROCEEDING, OR COUNTERCLAIM BROUGHT BY EITHER PARTY AGAINST THE OTHER PARTY ON ANY MATTER WHATSOEVER ARISING OUT OF OR IN ANY WAY RELATED TO THIS AGREEMENT OR ANY SOW. 
  4. Headings; Counterparts; Electronic Signatures.  The headings to the sections of this Agreement are for ease of reference only and shall not affect the interpretation or construction of this Agreement. Any SOW and/or Order Form may be executed and delivered in multiple counterparts by facsimile, emailed PDF, or electronic signature, each of which shall be deemed to be an original and all of which together will constitute one and the same instrument.  
  5. Non-Solicitation.  Subject to applicable law, while this Agreement and any SOW and/or Order Form is in effect and for a period of twelve (12) months after termination or expiration of this Agreement and all SOWs for any reason,  neither party shall directly or indirectly solicit for employment any person employed by or under contract with the other party who has been directly involved in such services engagement.  It is the intent of the parties that nothing stated herein shall prohibit either party from, at any time, hiring an employee of the other party, if such employee responded to an indirect solicitation (e.g. trade fair, newspaper advertisement, posting on an internet job board or posting on the party’s own internet recruiting device) from the hiring party or the hiring party’s agent. 
  6. Relationship of the Parties.  3E is an independent contractor. This Agreement does not create any partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties. Neither party shall make any contract, warranty or representation or assume or create any obligation, express or implied, in the other party’s name or on its behalf. 
  7. Advertising.  Client hereby authorizes 3E to: (i) issue a press release announcing that it has entered into an agreement to provide services to Client; (ii) publicly disclose that 3E is providing or has provided services to Client; and (iii) use Client’s name and/or logo in its list of marketing materials and/or on its website. 
  8. Force Majeure.  Except for the obligation to make payments in accordance with the terms of this Agreement and any SOW and/or Order Form, any non-performance of either party shall be excused to the extent that such performance is rendered impossible by strike, fire, flood, governmental acts or orders or restrictions, failure of suppliers, or any other reason where failure to perform is beyond the reasonable control of the non-performing party. 
  9. Cooperation; Delays.  Client acknowledges that 3E is relying upon information (e.g., Client data, materials, records, reports, and/or documentation) provided by Client. Thus, the accuracy and results of the Services and/or SaaS Services may be dependent upon the accuracy, timeliness, and completeness of the information furnished by Client to 3E. Any delays due to Client’s failure to provide 3E access to any employees and/or information, including, without limitation, any data, software, materials, presentations, records, reports, and/or documentation required for the provision of the Services and/or SaaS Services may result in delays in any scheduled deadlines. Client acknowledges and agrees that if any phase of 3E’s scheduled Services as set forth in a SOW is delayed by more than forty-eight (48) hours by any act, error, omission, or negligence of Client, including but not limited to Client’s failure to make payments as set forth in Section 2, the scheduled completion of the Services and/or any individual phase of the Services as set forth in the SOW may be delayed.  Client agrees to pay 3E for any extended work at 3E’s then standard rates for the required personnel.  Client will not be responsible for any extension period that is caused by circumstances within 3E’s control. 
  10. Notices.  Any demand, notice, consent, or other communication required by this Agreement or any SOW and/or Order Form must be given in writing and shall be deemed delivered upon receipt when delivered personally or upon confirmation of receipt following delivery by an overnight courier service, in each case addressed to the receiving party at its address set forth in the applicable SOW and/or Order Form .  Either party may change its address by giving written notice of such change to the other party. 
  11. Waiver and Severability.  Performance of any obligation required by a party hereunder may be waived only by a written waiver signed by an authorized representative of the other party, which waiver shall be effective only with respect to the specific obligation described therein. The failure of either party to exercise any of its rights and/or remedies under this Agreement will not be deemed a waiver or forfeiture of such right or remedy. A waiver on one occasion shall not be construed as a waiver of any right, remedy, or obligation on any future occasion. Except as otherwise expressly stated in this Agreement, the remedies provided in this Agreement are in addition to, and not exclusive of, any other rights and remedies of a party at law or in equity. The invalidity or unenforceability of one or more provisions of this Agreement or any SOW will not affect the validity or enforceability of any of the other provisions hereof, and this Agreement and all SOWs and Order Forms will be construed in all respects as if such invalid or unenforceable provision(s) were omitted.
